1523 A Case for Ethics Practice under the Revised ISO 14001:2015

Abstract:
The ISO 14001 management system standard was first published in 1996. It is a voluntary standard adopted by both private and public sector organizations globally. Adoption of the ISO 14001 standard at the corporate level is done to help manage business impacts on the environment e.g. pollution control. The International Organization for Standardization (ISO) revised the standard in 2004 and recently in 2015. The current revision of the standard appears to adopt a communitarian-type philosophy. The inclusion of requirements to consider external 'interested party' needs and expectations implies this philosophy. Therefore, at operational level businesses implementing ISO 14001 will have to consider needs and expectations beyond local laws. Should these external needs and expectations be included in the scope of the environmental management system, they become requirements to be complied with in much the same way as compliance to laws. The authors assert that the recent changes to ISO 14001 introduce an ethical dimension to the standard. The authors assert that business ethics as a discipline now finds relevance in ISO 14001 via contemporary stakeholder theory and discourse ethics. Abstract:
Long-term scientific forecasts confirm that diesel engines still will be the basis of the transport and stationary power in the near future. This is explained by their high efficiency and profitability compared to other types of heat engines. In the automotive industry carried basic researches are aimed at creating a new generation of diesel engines with reduced exhaust emissions (with stable performance) determining the minimum impact on the environment. The application of thermal barrier coatings (TBCs) and especially their modifications based on semitransparent ceramic materials allows solving this problem. For such researches, the preliminary stage of testing of physical characteristics materials and coatings especially with semitransparent properties the authors proposed experimental operating innovative radiative-and-convective cycling simulator. Abstract:
The aim to achieve a fully decarbonized building stock by 2050 stands as one of the most challenging issues within the spectrum of energy and climate objectives. Numerous strategies are imperative, particularly emphasizing the reduction and optimization of energy demand. Ensuring the high energy performance of buildings emerges as a top priority, with measures aimed at cutting energy consumptions. Concurrently, it is imperative to decrease greenhouse gas emissions by using renewable energy sources for the on-site energy production, thereby striving for an energy balance leading towards zero-emission buildings. Italy's predominant building stock comprises ancient buildings, many of which hold historical significance and are subject to stringent preservation and conservation regulations. Attaining high levels of energy efficiency and reducing CO2 emissions in such buildings poses a considerable challenge, given their unique characteristics and the imperative to adhere to principles of conservation and restoration. Additionally, conducting a meticulous analysis of these buildings' current state is crucial for accurately quantifying their energy performance and predicting the potential impacts of proposed renovation strategies on energy consumption reduction. Within this framework, the paper presents a pilot case in Rome, outlining a methodological approach for the renovation of historic buildings towards achieving Zero Emission Building (ZEB) objective. The building has a mixed function with offices, a conference hall, and an exposition area. The building envelope is made of historical and precious materials used as cladding which must be preserved. A thorough understanding of the building's current condition serves as a prerequisite for analyzing its energy performance. This involves conducting comprehensive archival research, undertaking on-site diagnostic examinations to characterize the building envelope and its systems, and evaluating actual energy usage data derived from energy bills. Energy simulations and audit are the first step in the analysis with the assessment of the energy performance of the actual current state. Subsequently, different renovation scenarios are proposed, encompassing advanced building techniques, to pinpoint the key actions necessary for improving mechanical systems, automation and control systems, and the integration of renewable energy production. These scenarios entail different levels of renovation, ranging from meeting minimum energy performance goals to achieving the highest possible energy efficiency level. The proposed interventions are meticulously analyzed and compared to ascertain the feasibility of attaining the Zero Emission Building objective. In conclusion, the paper provides valuable insights that can be extrapolated to inform a broader approach towards energy-efficient refurbishment of historical buildings that may have limited potential for renovation in their building envelopes. Abstract:
The goal of this work is to understand how the thermal influence of combustion chamber deposits can be utilized to expand the operating range of HCCI combustion. In order to do this, two main objectives must first be met; tracking deposit formation trends in an HCCI engine and determining the sensitivity of HCCI combustion to CCD. This requires testing that demonstrates the differences in combustion between a clean engine and one with deposits coating the chamber. This will involve a long-term test that tracks the effects of CCD on combustion. The test will start with a clean engine. One baseline HCCI operating point is maintained for the duration of the test during which gradual combustion chamber deposit formation will occur. Combustion parameters, including heat release rates and emissions will be tracked for the duration and compared to the case of a clean engine. This work will begin by detailing the specifics of the test procedure and measurements taken throughout the test. Abstract:
With the ubiquity of 3D printing technology in the last decade, a wide array of material choices are available for Fused Deposition Modelling (FDM) 3D printing technology. Exploration into creating printable bio-polymers has also seen progress recently in attempts to further the sustainability agenda and circular economy. By tackling waste and pollution via recycling and reusing, food by-products resulting from mass food production may see opportunities for renewed value and alternate applications through 3D printing. To date, many pure polymers, blends, as well as composites have been developed specifically for FDM printing contexts to heighten the physical performance of final printed products. This review article covers general information on various FDM printed polymers and composites while exploring experiments designed to create printable biopolymers made from reused food by-products. The biopolymer-based composites preparation is described in detail, while their advantages and disadvantages are also discussed. In addition, this article shares knowledge and highlights experimentation that aims to achieve acceptable 3D-printed biopolymer composite properties that may address the functional requirements of different application contexts. Abstract:
This paper presents an approach of conducting semantic annotation of Arabic corpus using the Universal Networking Language (UNL) framework. UNL is intended to be a promising strategy for providing a large collection of semantically annotated texts with formal, deep semantics rather than shallow. The result would constitute a semantic resource (semantic graphs) that is editable and that integrates various phenomena, including predicate-argument structure, scope, tense, thematic roles and rhetorical relations, into a single semantic formalism for knowledge representation. The paper will also present the Interactive Analysis tool for automatic semantic annotation (IAN). In addition, the cornerstone of the proposed methodology which are the disambiguation and transformation rules, will be presented. Semantic annotation using UNL has been applied to a corpus of 20,000 Arabic sentences representing the most frequent structures in the Arabic Wikipedia. The representation, at different linguistic levels was illustrated starting from the morphological level passing through the syntactic level till the semantic representation is reached. The output has been evaluated using the F-measure. It is 90% accurate. Abstract:
Languages have been classified into different rhythm classes. 'Stress-timed' languages are exemplified by English, 'syllable-timed' languages by French and 'mora-timed' languages by Japanese. However, to our best knowledge, acoustic studies have not been unanimous in strictly establishing which rhythm category a given language belongs to and failed to show empirical evidence for isochrony. Perception seems to be a good approach to categorize languages into different rhythm classes. This study, within the scope of experimental phonetics, includes an account of different perceptual experiments using cues from natural and inverted speech, as well as pitch extracted from speech data. It is an attempt to categorize speech rhythm over a large set of Arabic (Tunisian, Algerian, Lebanese and Moroccan) and English dialects (Welsh, Irish, Scottish and Texan) as well as other languages such as Chinese, Japanese, French, and German. Listeners managed to classify the different languages and dialects into different rhythm classes using suprasegmental cues mainly rhythm and pitch (F0). They also perceived rhythmic differences even among languages and dialects belonging to the same rhythm class. Abstract:
Thermochemical energy storage (TCES), as a long-term and lossless energy storage principle, provides a contribution for the reduction of greenhouse emissions of mobile applications, such as passenger vehicles with an internal combustion engine. A prototype of a TCES system, based on reversible sorption reactions of LiBr composite and methanol has been designed at Vienna University of Technology. In this paper, the selection of reactive and inert carrier materials as well as the design of heat exchangers (reactor vessel and evapo-condenser) was reviewed and the cycle stability under real operating conditions was investigated. The performance of the developed system strongly depends on the environmental temperatures, to which the reactor vessel and evapo-condenser are exposed during the phases of thermal conversion. Modeling of air pollutants from the accidental release is performed for quantifying the impact of industrial facilities into the ambient air. The mathematical methods are requiring for the prediction of the accidental scenario in probability of failure-safe mode and analysis consequences to quantify the environmental damage upon human health. The initial statement of mitigation plan is supporting implementation during production and maintenance periods. In a number of mathematical methods, the flow rate at which gaseous and liquid pollutants might be accidentally released is determined from various types in term of point, line and area sources. These emissions are integrated meteorological conditions in simplified stability parameters to compare dispersion coefficients from non-continuous air pollution plumes. The differences are reflected in concentrations levels and greenhouse effect to transport the parcel load in both urban and rural areas. This research reveals that the elevation effect nearby buildings with other structure is higher 5 times more than open terrains. The assessment of attachment patterns in toddlers and adults has been well researched, and valid diagnostic methods (e.g., Strange Situation Test, Adult Attachment Interview) are applicable. For middle and late childhood, on the other hand, there are only few validated methods available so far. For the Child Attachment Interview (CAI) promising validation studies from English-speaking countries are available, but so far a comprehensive study on the validity of a German sample is lacking. Within the scope of a longitudinal project, the results of the first point of measurement are reported in this study. A German-language version of the CAI was carried out with 111 primary school children (56% female; age: M = 8.34, SD = 0.49). In relation to psychometric quality criteria, parameters on interrater reliability, construct validity and discriminant, and convergent validity are reported. Analyses of the correlations between attachment patterns and internalizing and externalizing behavior problems from parent and teacher reports are presented. The implications for the German-language assessment of attachment in middle and late childhood in research and individual case diagnostics, e.g., in the context of conducting expert evaluation reports for family courts, are discussed.Keywords: attachment, attachment assessment, developmental psychology, longitudinal study

Ongoing debates claim that the definition of sustainability and its assessment is vague. Companies struggle with understanding which processes they should prioritise and necessitate a methodology to aid decision-making. For that reason, our investigation focused on defining a prioritisation guide to help to manufacture engineers identify areas of a facility to prioritise de-carbonisation efforts based on existing sources of data. The authors at the University of Sheffield Advanced Manufacturing Research Centre (AMRC) worked with a range of major businesses, including Food and Drink (Moy Park), Automotive (Nissan), Aerospace and Defence (BAE, Meggitt, Leonardo, and GKN) and Technology (Accenture and Intellium AI). Collected information has been integrated into a prioritisation guide framework that helps process comparison and decision-making. Coupling with solid oxide fuel cells, methane dry reforming is a promising pathway for energy production while mitigating carbon emissions. However, the influence of carbon dioxide and electrochemical reactions on the internal dry reforming reaction within the fuel cells remains debatable, requiring accurate kinetic models to describe the internal reforming behaviors. We employed the Power-Law and Langmuir Hinshelwood–Hougen Watson models in an electrolyte-supported solid oxide fuel cell with a NiO-GDC-YSZ anode. The current density used in this study ranges from 0 to 1000 A/m2 at 973 K to 1173 K to estimate various kinetic parameters. The influence of the electrochemical reactions on the adsorption terms, the equilibrium of the reactions, the activation energy, the pre-exponential factor of the rate constant, and the adsorption equilibrium constant were studied. Electric mobility (e-mob) is one of the significant actions proposed for sustainable urban transport in India. The current efforts are aimed at reducing the carbon-dioxide (CO2) emissions and environmental pollution through a smooth transition from fossil-fueled mobility (f-mob) to e-mob. The study summarizes the e-mob landscape in India, its roadmap, the expected challenges relevant to the consumer preferences and perceptions. In addition to the challenges of transition from f-mob to e-mob, the sustainability of e-mob is more crucial as it involves addressing challenges related to three dimensions, namely, environmental, economic, and social sustainability. The critical factors in each of these dimensions are analyzed. The recommendations for attaining sustainability are suggested to enable a successful transition from f-mob to e-mob. The specific objectives of the research include a detailed synthesis of urban mobility landscape, analyses of various stakeholders' behaviors, drivers, and barriers influencing the transition, measures to boost the drivers and mitigate the barriers. Fuel saving has become one of the most important issue for shipping in terms of fuel economy and environmental impact. Lowering fuel consumption is possible for both new ships and existing ships through enhanced energy efficiency measures, technical and operational respectively. The limitations of applying technical measures due to the long payback duration raise the potential of operational changes for energy efficient ship operations. This study identifies operational energy efficiency measures related voyage performance management. We use ‘noon’ data to examine the correlation between fuel consumption and operational parameters- revolutions per minute (RPM), draft, trim, (beaufort number) BN and relative wind direction, which are used as measures of ship energy efficiency. The results of this study reveal that speed optimization is the most efficient method as fuel consumption depends heavily on RPM. The literature incorporating geographical or tourist-geographical themes and explicit references to the Carpathian area is extremely abundant. Through this paper, we attempt to “undermine” the traditional, tourist-geographical approaches of the Carpathian Arch by targeting an aspect often regarded as marginal but which, if examined, even only empirically, takes the form of a vast problem with multidisciplinary vocation. Therefore, we propose a more extravagant yet pro-touristic approach to the Romanian Carpathian geo-space. Consequently, the explicit goal of this approach consists precisely in broadening the multidisciplinary, essentially geographic scope of the research, the vision and mental representation of the Carpathian area by advancing a lever that would symbolize a different kind of unification between geography and tourism on a more intimate, subtle, mythological and archetypal level. Although the green marketing activities are common worldwide, studies on consumer perceptions and preferences are unsatisfactory in the literature. Abstract:
Because of its exceptional properties, graphene has become the most promising nanomaterial for the development of a new generation of advanced materials from battery electrodes to structural composites. However, current methods to meet requirements for the mass production of high-quality graphene are limited by harsh oxidation, high temperatures, and tedious processing steps. To extend the scope of the bulk production of graphene, herein, a facile, reproducible and cost-effective approach has been developed. This involved heating a specific mixture of chemical materials at an extremely low temperature (70 C) for a short period (7 minutes) to exfoliate functionalized graphene platelets with high structural integrity. The obtained graphene platelets have an average thickness of 3.86±0.71 nm and a lateral size less than ~2 µm with a low defect intensity ID/IG ~0.06. The thin film (~2 µm thick) exhibited a low surface resistance of ~0.63 Ω/sq⁻¹, confirming its high electrical conductivity. Additionally, these nanoplatelets were decorated with polar functional groups (epoxy and carboxyl groups), thus have the potential to toughen and provide multifunctional polymer nanocomposites. The issue of renegotiation has not received public sector applause because of the outcomes recorded over years. Numerous reasons have been adduced by the stakeholders for the renegotiation of PPP road projects. In some instances, the reason can also be the factor leading to the renegotiation of PFI (DBFO) road projects. Thus, a number of factors inform the decision of the primary stakeholders to renegotiate the contract. This paper, therefore, evaluates and assesses the factors leading to the renegotiation of PFI (DBFO) road projects in the UK. Qualitative interviews involving both public and private stakeholders were extensively adopted on five PFI (DBFO) case study road projects in order to address the aim of this study. This serves to complement the findings of the literature with respect to the factors leading to the renegotiation of PPP road projects. The findings of this research reveal the respective factors leading to the renegotiations of PFI (DBFO) road projects in the UK. Ammonia (NH₃) is the alternative carbon-free fuel of the future for its promising applications. Investigations on NH₃-fuel blends recommend using hydrogen (H₂) to increase the heating value of NH3, promote combustion performance, and improve NOx efflux mitigation. To further examine the effects of this concept, the study analyzed the combustion performance, in terms of turbulence, combustion efficiency (CE), and NOx emissions, of NH3/fuel with variations of combustor diameter ratio, H2 fuel mole fraction, and fuel mass flow rate (ṁ). The simulations were performed using Computational Fluid Dynamics (CFD) modeling to represent a non-premixed (NP) and partially premixed (PP) combustion under a two-dimensional ultra-low NOx Rich-Burn, Quick-Quench, Lean-Burn (RQL) combustor. Governed by the Detached Eddy Simulation model, it was found that the diameter ratio greatly affects the turbulence in PP and NP mode, whereas ṁ in PP should be prioritized when increasing CE. The NOx emission is minimal during PP combustion, but NP combustion suggested modifying ṁ to achieve higher CE and Reynolds number without sacrificing the NO generation from the reaction.Keywords: combustion efficiency, turbulence, dual-stage combustor, NOx emission

Abstract:
The shipping industry has begun to seriously look at ways of reducing fossil fuel consumption so that current reserves can last longer and operate their ships in a more environmentally friendly way. The concept of Green Shipping or Sustainable Shipping with the use of alternative fuels is now becoming an important issue for ship owners, shipping lines and ship builders globally. This paper provides a critical review of the performance of biodiesel and natural gas-fuelled diesel engines for shipboard application. The emission reduction technique included the use of either neat or emulsified rapeseed methyl ester (RME) for pilot ignition and the emission of NOx, CO2 and SOx were measured at engine speed range of 500 - 1500 r/min. The NOx concentrations were compared with the regulated IMO MARPOL73/78, Annex VI, Tiers I, II, III and United States Environmental Protection Agency (US-EPA) standard. All NOx emissions met Tier I and II levels and the EPA standard for the minimum specification of category 1 engines at higher speed but none met the MARPOL Tier III limit which is for designated Emission Control Areas (ECAs). Work safety is among the most important things in work execution. Unsafe conditions and actions are priorities in accident prevention in the world of work, especially in the operation and maintenance of electric power transmission. Considering the scope of work, operational work in the transmission has a very high safety risk. Various efforts have been made to avoid work accidents. However, accidents or disturbances caused by non-conformities in work implementation still often occur. Unsafe conditions or actions can cause these. Along with the development of technology, website-based applications and mobile applications have been widely used as a medium to monitor work in real-time and by more people. This paper explains the use of web and android-based applications to monitor work and work processes in the field to prevent work accidents or non-system fault disturbances caused by non-conformity of work implementation with predetermined work instructions. Because every job is monitored in real-time, recorded in time and documented systemically, this application can reduce the occurrence of possible unsafe actions carried out by job executors that can cause disruption or work accidents.Keywords: work safety, unsafe action, application, non-system fault, real-time.

Abstract:
Electromagnetic compatibility (EMC) is the ability of a Radio Communication Equipment (RCE) to operate with a desired quality of service in a given Electromagnetic Environment (EME) and not to create harmful interference with other RCE. This paper presents an algorithm which improves the simulation speed of estimating EMC of RCE in a complex EME, based on a stage by stage frequency-energy criterion of filtering. This algorithm considers different interference types including: Blocking and intermodulation. It consist of the following steps: simplified energy criterion where filtration is based on comparing the free space interference level to the industrial noise, frequency criterion which checks whether the interfering emissions characteristic overlap with the receiver’s channels characteristic and lastly the detailed energy criterion where the real channel interference level is compared to the noise level. In each of these stages, some interference cases are filtered out by the relevant criteria. This reduces the total number of dual and different combinations of RCE involved in the tedious detailed energy analysis and thus provides an improved simulation speed.Keywords: electromagnetic compatibility, electromagnetic environment, simulation of communication network

This paper presents an Ant Colony Optimization (ACO) approach, combined with a Speed Optimization Algorithm (SOA) to solve the Vehicle Routing Problem (VRP) with environmental considerations, which is well known as Pollution-Routing Problem (PRP). It consists of routing a number of vehicles to serve a set of customers, and determining fuel consumption, driver wages and their speed on each route segment, while respecting the capacity constraints and time windows. Since VRP is NP-hard problem, so PRP also a NP-hard problem, which requires metaheuristics to solve this type of problems. The proposed solution method consists of two stages. Stage one is to solve a Vehicle Routing Problem with Time Window (VRPTW) using ACO and in the second stage, a SOA is run on the resulting VRPTW solution. Given a vehicle route, the SOA consists of finding the optimal speed on each arc of the route to minimize an objective function comprising fuel consumption costs and driver wages. The proposed algorithm tested on benchmark problem, the preliminary results show that the proposed algorithm can provide good solutions within reasonable computational time.Keywords: ant colony optimization, CO2 emissions, speed optimization, vehicle routing

Abstract:
(R)-(4,4',6,6'-tetramethoxybiphenyl-2,2'-diyl)bis(diphenylphosphine) (R-Ph-Garphos), and (S)-(4,4',6,6'-tetramethoxybiphenyl-2,2'-diyl)bis(diphenylphosphine) (S-Ph-Garphos) are novel, nucleophilic, chiral atropisomeric ligands. The research explored the synthesis of chiral transition metal complexes containing these ligands and their applications in various asymmetric catalytic transformations. Herein, the transition metal complexes having ruthenium(II), rhodium(I) and iridium(I) metal centres will be discussed. These are air stable complexes and were characterized by CHN analysis, 1H, 13C, and 31P NMR spectroscopy, and polarimetry. Currently, there is an emphasis on 'greener' catalysts and the need for 'green' solvents in asymmetric catalysis. As such, the Ph-Garphos ligands were demethylated thereby introducing hydroxyl moieties unto the ligand scaffold. The facile tunability of the biaryl diphosphines led to the preparation of the (R)-(4,4',6,6'-tetrahydroxybiphenyl-2,2'-diyl)bis(diphenylphosphine) (R-Ph-Garphos-OH), and (S)-(4,4',6,6'-tetrahydroxybiphenyl-2,2'-diyl)bis(diphenylphosphine) (S-Ph-Garphos-OH) ligands. These were successfully characterized by CHN analysis, 1H, 13C, and 31P NMR spectroscopy, and polarimetry. The use of the Ph-Garphos and Ph-Garphos-OH ligands and their transition metal complexes in asymmetric hydrogenations will be reported. Environment has become a phenomenon directly linked to security in recent decades. This security aspect of environment is justified by the challenges that environment problems can have on human life and thus security especially within the scope of human security that is based mainly on the individual rather than on the state. Because Africa is not safe from the global warming and all its consequences on environment, this continent has witnessed many crises related to environment and that have had direct impact on security in Africa. One of those crises is environmental displacement or immigration which was caused by natural disasters like draught, desertification and food shortage to name but a few. This paper aims at shedding light at some important cases in the Africa focusing mainly on the Sahel region. The main research questions that we are trying to answer are the following: 1-What is the relationship between environment and forced immigration in the Sahel region? 2-What is the impact of environmental immigration on Security in the region? 3-How have the states in this region reacted to this crisis? 4-Is the measures taken by those states adequate or not? 5- How to remedy for the limitations of those measures? The paper is based on case study methodology as a way to better understand the relationship between security and environment using library research for data collection and analysis. Cloud storage revolutionized the way how users access their data online anywhere, anytime and using any device as a tablet, mobile, laptop, etc. A lot of issues as vendor lock-in, frequent service outage, data loss and performance related issues exist in single cloud storage systems. So to evade these issues, the concept of multi cloud storage introduced. There are a lot of multi cloud storage systems exists in the market for mobile devices. In this article, we are providing comparison of four multi cloud storage systems for mobile devices Otixo, Unclouded, Cloud Fuze, and Clouds and evaluate their performance on the basis of CPU usage, battery consumption, time consumption and data usage parameters on three mobile phones Nexus 5, Moto G and Nexus 7 tablet and using Wi-Fi network. This notable aspect of heritage tourism is cultural exchange among the various communities who visit our country India. Every destination has a life cycle like the product known as destination life cycle. India is considered to be the hub of cultural heritage tourism; its cultural heritage tourism can be traced back to several centuries. Heritage tourism has gained the popularity of global cuisine activity. The statistics of 2014 reveals 903 million International Tourist in heritage tourism destination is done to know the impact of storytelling for their visit to particulars heritage tourism destination. SWOT analysis of the destination is undertaken for the research purpose. A collection of data from the travel agency was taken who visited the heritage tourism destination and were asked to fill questionnaire for the research purpose to know the impact of storytelling for their visit to destination. A total of 100 respondents filled the questionnaire. Abstract:
This work investigates an intermodal transportation system for delivering goods from a Regional Distribution Centre to supermarkets on the Isle of Wight (IOW) via the port of Southampton or Portsmouth in the UK. We consider this integrated logistics chain as a 3-echelon transportation system. In such a system, there are two types of transport methods used to deliver goods across the Solent Channel: one is accompanied transport, which is used by most supermarkets on the IOW, such as Spar, Lidl and Co-operative food; the other is unaccompanied transport, which is used by Aldi. Five transport scenarios are studied based on different transport modes and ferry routes. The aim is to determine an optimal delivery plan for supermarkets of different business scales on IOW, in order to minimise the total running cost, fuel consumptions and carbon emissions. The problem is modelled as a vehicle routing problem with time windows and solved by genetic algorithm. The computing results suggested that accompanied transport is more cost efficient for small and medium business-scale supermarket chains on IOW, while unaccompanied transport has the potential to improve the efficiency and effectiveness of large business scale supermarket chains.Keywords: genetic algorithm, intermodal transport system, Isle of Wight, optimization, supermarket

The regulation of competitive takeover bids is one of the most problematic issues of any legislation on takeovers since it concerns a particular type of market, that of corporate control, whose peculiar characteristic is that companies represent "assets" unique of their kind, for each of which there will be a relevant market characterized by the presence of different subjects interested in acquiring control. Firstly, this work aims to analyze, from a comparative point of view, the regulation of takeover bids in competitive scenarios, characterized by the presence of multiple takeover bids for the same target company, and contribute to the debate on the impact that various solutions adopted in some legal systems examined (Italy, UK, and USA) have had on the efficiency of the market for corporate control. Secondly, the different auction models identified by the economic literature and their possible applications to corporate acquisitions in competitive scenarios will be examined, as well as the consequences that the application of each of them causes on the efficiency of the market for corporate control and the interests of the target shareholders. The scope is to study the possibility of attributing to the management of the target company the power to design the auction in order to better protect the interests of shareholders through the adoption of ad hoc models according to the specific context. and in particular on the ground of their assessment of the buyer's risk profile.Keywords: takeovers, auction theory, shareholders, target company
